1. Acceptance of terms

These Terms of Service ("Terms") govern your use of the website and services operated by CHANGE_ME Your Legal Entity Name LLC ("Fitdown," "we," "us," or "our"), available at https://media.toolzipp.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

Fitdown provides a tool that lets you retrieve a local copy of publicly accessible video and audio content from third-party platforms, for your own personal, non-commercial use. The Service does not host, store, or index third-party content on an ongoing basis — files you request are fetched on demand, made available to you for a limited time, and then automatically and permanently deleted from our systems.

We are not affiliated with, endorsed by, or sponsored by any of the third-party platforms referenced or supported by the Service (including but not limited to YouTube, TikTok, X/Twitter, Instagram, Facebook, Vimeo, and SoundCloud). Those platforms' own terms of service continue to apply to your use of their content and platforms.

3. Your responsibilities

By using the Service, you represent and agree that you will:

• Only download content that you own, have been given explicit permission to download, or are otherwise legally entitled to download under applicable copyright law (including exceptions such as fair use or fair dealing where they apply);
• Comply with the terms of service of the platform each piece of content originates from;
• Not use the Service to infringe any copyright, trademark, right of publicity, privacy right, or other intellectual property or legal right of any third party;
• Not redistribute, sell, sublicense, publicly perform, or otherwise commercially exploit content obtained through the Service without the rights holder's authorization;
• Not use the Service to circumvent any digital rights management (DRM), geographic restriction, or access-control mechanism;
• Not use automated means (bots, scripts, scrapers) to access the Service at a volume or frequency beyond normal individual use, or to circumvent rate limits;
• Not use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service.

4. No account, no stored content

The Service does not require you to create an account to use its core download features. We do not knowingly retain the files you download beyond the retention window disclosed at the time of download (see our Privacy Policy). Once that window elapses, files are deleted and are not recoverable by us or by you through the Service.

5. Intellectual property

The Service itself — its design, branding, source code, and original text — is owned by CHANGE_ME Your Legal Entity Name LLC or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

We claim no ownership over third-party content that passes through the Service. All rights in that content remain with its original rights holders.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHANGE_ME YOUR LEGAL ENTITY NAME LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY CLAIM ARISING FROM CONTENT YOU DOWNLOAD OR HOW YOU USE IT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

You agree to indemnify and hold harmless CHANGE_ME Your Legal Entity Name LLC from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of content obtained through the Service.

We may suspend or restrict your access to the Service at any time, without notice, if we reasonably believe you have violated these Terms, abused the Service, or if required to do so by law.
